These Cardholder Terms & Conditions govern your use of the Perkit app and of the Perkit prepaid card and its associated wallets. Please read them carefully and keep a copy.
1.About these terms and who we are
1.1 These Cardholder Terms & Conditions (the "Terms") govern your use of the Perkit mobile application (the "App") and of the Perkit prepaid card and its associated wallets (together, the "Service"). Please read them carefully and keep a copy. By creating an account, activating a Card or otherwise using the Service, you agree to these Terms.
1.2 The Service is provided to you by Ekinox S.A., a company incorporated in Greece with registered seat at Arkadiou 2, 155 62 Cholargos, Attica, Greece, registered with the General Commercial Registry (GEMI) under no. 192338001000 and holding Greek Tax Identification Number (AFM) 803217731 ("Ekinox", "we", "us" or "our"). Ekinox operates the Perkit programme and the App, and acts as programme manager and distributor of the Service. "Perkit" is the commercial brand under which the Service is offered.
1.3 The Perkit Card is a prepaid card issued on an international card payment network (the "Card Scheme") under licence from that scheme. The Card carries the brand of the applicable Card Scheme, as shown on the Card and in the App. The regulated electronic-money services connected to the Card (issuing of electronic money, holding of funds and execution of payment transactions) are provided by Stripe Technology Europe, Limited ("STEL"), an electronic money institution authorised by the Central Bank of Ireland (reference C187865) and passported to operate across the European Economic Area (the "Issuer"). The Issuer's own cardholder terms may apply to the regulated payment services and, where they do, those terms govern that aspect of the Service.
1.4 Reissuance and changes to the Card. We may issue or reissue your Card from time to time, including on a different Card Scheme, or for operational, security, regulatory or commercial reasons. If we do, your card number and other card details may change, and we may update these Terms and the Perkit branding accordingly. We will give you reasonable advance notice of any change that affects you and will aim to make the transition seamless. A reissuance or a change of Card Scheme does not by itself affect your Available Balance.
1.5 The Service is made available to you through your employer or another organisation that has entered into an agreement with Ekinox (your "Employer"). Your Employer decides whether you are eligible, which wallets you receive and how they are funded. These Terms govern the relationship between you and Ekinox; they do not affect the separate agreement between Ekinox and your Employer.
2.Definitions
In these Terms, the following words have the meanings set out below:

| Card Scheme | The international card payment network whose brand the Card carries and through which transactions are authorised and settled, as shown on your Card and in the App. |
| Cardholder / you | The individual to whom a Card and Account are issued. |
| Wallet | A distinct spending balance within your Account — Meals, Expenses or Flex — each with its own rules on where and how it can be used. |
| Working Day | Monday to Friday, excluding public holidays in Greece. |
3.Eligibility and receiving your Card
3.1 To use the Service you must be at least 18 years old, be resident in the European Economic Area, have been designated as an eligible employee or beneficiary by your Employer, and provide the information we reasonably require. The Card is personal to you and may not be transferred to or used by anyone else.
3.2 We may decline to issue, or may suspend, your Card or Account if we cannot adequately verify your identity, if information is missing or incorrect, or if we are required to do so by law or by the Issuer or card scheme.
3.3 Your Card must be activated before it can be used. You can activate it through the App following the instructions provided. A virtual Card may be available in the App immediately after activation; any physical Card is sent separately.
4.Your Account, identity verification and security
4.1 To use the Service you must register an Account in the App and set up secure access credentials. You may be asked to confirm your identity using biometric authentication (such as Face ID or fingerprint) supported by your device, or another method of strong authentication, when you log in or when you make certain transactions.
4.2 You are responsible for keeping your credentials, device, PIN and Card details secure and confidential. You must not share them with anyone, including family members. If you allow another person to access your Account or Card, you may be responsible for any resulting transactions to the extent permitted by law.
4.3 You must tell us without undue delay if your Card or device is lost or stolen, if you think someone else knows your credentials or PIN, or if you notice a transaction you did not authorise. You can do this in the App or by contacting us using the details in Section 18. We may block your Card to protect you, and will tell you when we do so unless the law prevents us.
5.Licence to use the Perkit App
5.1 We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to download and use the App on a device that you own or control, solely to access the Service for your own benefit and in accordance with these Terms and any applicable app-store rules.
5.2 You agree not to: (a) copy, modify, reverse-engineer, decompile or create derivative works of the App except to the extent this restriction is prohibited by law; (b) rent, lease, lend, sell or sublicense the App; (c) use the App for any unlawful, fraudulent or harmful purpose; (d) circumvent or interfere with security, authentication or rate-limiting features; or (e) use automated means to access the Service in a way that disrupts it.
5.3 We may issue updates to the App from time to time, which may be required for continued use. We may add, change or remove features. We will give you reasonable notice of material changes that adversely affect you, where we are able to.
6.Your wallets and how the Card can be used
6.1 Your Account may contain up to three wallets, each funded by your Employer and each with its own usage rules:

6.2 Whether a transaction is approved depends on the wallet rules, your Available Balance, applicable limits, the merchant's category and our (and the Issuer's) checks. Because eligibility is determined automatically from merchant category information supplied through the card scheme, a payment may occasionally be declined at an eligible merchant, or — rarely — accepted at one that does not match the intended use. We are not responsible for a merchant's decision to accept or refuse the Card.
6.3 The Card is a prepaid product. You can only spend up to your Available Balance, and you cannot use the Card to go into debt or overdraft. You cannot withdraw cash with the Card unless we tell you that cash withdrawal is enabled for a specific wallet. The Card cannot be used for unlawful purposes or for transactions prohibited by the card scheme.
6.4 Where supported, you can add your Card to Apple Pay, Google Pay or another supported mobile wallet. Use of those wallets is also subject to the provider's own terms. Provisioning your Card to a mobile wallet does not change these Terms.
6.5 Funds in a wallet may be subject to an expiry date set by your Employer's programme or by law. Unused funds may be forfeited on expiry in accordance with the programme rules and applicable law.
7.Loading funds and the nature of the balance
7.1 Your wallets are loaded by your Employer. You cannot top up the Card yourself unless we expressly enable that feature. The timing and amount of funding is determined by your Employer.
7.2 Funds loaded to your Account are held as electronic money by the Issuer and are safeguarded in accordance with applicable law. They are not bank deposits, do not earn interest, and are not covered by a deposit-guarantee scheme. Safeguarding is designed to protect your funds if the Issuer becomes insolvent.
7.3 We may correct your balance if funds are credited in error (for example, a duplicate load or a reversed transaction), and you agree that we and the Issuer may do so.
8.Fees
8.1 Use of the Card and the App is provided to you free of charge for standard use. Your Employer pays the fees for the programme.
8.2 If your Card is used in a currency other than euro, a currency conversion may be applied by the card scheme or Issuer at the applicable rate. Any such charge will be disclosed in accordance with applicable law.
9.Refunds, errors and disputed transactions
9.1 If you have a problem with goods or services you bought, you should first contact the merchant. Refunds from a merchant are credited back to the wallet used for the original purchase and may take several days to appear.
9.2 If you believe a transaction was unauthorised or incorrectly executed, tell us without undue delay and in any event within the time limits required by applicable payment-services law. We, together with the Issuer, will investigate and, where you are entitled to a refund under applicable law, arrange for it to be made. You may be liable for losses arising from unauthorised transactions where you acted fraudulently or with gross negligence, to the extent permitted by law.
10.Suspending or blocking your Card or Account
10.1 We or the Issuer may block or suspend your Card or Account, in whole or in part, where we reasonably believe there is a security risk, suspected unauthorised or fraudulent use, a significantly increased risk that you cannot meet an obligation, or where we are required to do so by law, by the Issuer or by the card scheme. Where we can, we will tell you beforehand or immediately afterwards and explain our reasons, unless the law prevents us.
11.Ending these Terms and what happens to your balance
11.1 You may stop using the Service at any time and ask us to close your Account.
11.2 Your right to use the Service depends on your continued eligibility, as determined by your Employer. If your employment or relationship with your Employer ends, or your Employer removes your eligibility, your Card may be cancelled and your Account closed.
11.3 On termination, any Available Balance may cease to be available to you, and the treatment of remaining funds (including whether they are returned to your Employer) is governed by the programme rules and applicable law. Neither we, the Issuer nor your Employer is responsible for transactions attempted with the Card after your eligibility ends. We recommend you use any remaining eligible balance before your relationship with your Employer ends.
11.4 We may terminate or suspend these Terms and the Service on reasonable notice, or immediately where required by law, where the agreement with your Employer ends, or where you have seriously or repeatedly breached these Terms.
12.Our responsibilities and liability
12.1 We will provide the Service with reasonable skill and care. We do not, however, guarantee that the App or Service will be uninterrupted, error-free or always available, and we are not responsible for failures caused by matters outside our reasonable control, including your device, your network, the merchant, the card scheme or events of force majeure.
12.2 Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including your mandatory rights as a consumer and any rights you have under applicable payment-services law. Subject to that, we are not liable for indirect or consequential loss, or for loss that we could not reasonably have foreseen.
12.3 You are responsible for using the Service lawfully and in line with these Terms. To the extent permitted by law, you agree to reimburse us for losses we reasonably incur as a direct result of your fraud, your gross negligence or your serious breach of these Terms.
13.Intellectual property
13.1 The App, the Perkit name and logo, and all related content and software are owned by or licensed to Ekinox and its partners and are protected by intellectual-property laws. The names and logos of the applicable Card Scheme are trademarks of their respective owners. Except for the limited licence in Section 5, no rights are granted to you.
14.Data protection
14.1 We process your personal data to provide the Service. Details of what we collect, why, the legal bases we rely on, who we share it with and your rights are set out in the Perkit Privacy Policy, available in the App. By using the Service you acknowledge that Privacy Policy.
15.Changes to these Terms
15.1 We may change these Terms from time to time, for example to reflect changes in the Service, in our partners or in the law. We will give you reasonable advance notice of material changes through the App or by other means, in accordance with applicable law. If you do not agree to a change, you may stop using the Service and close your Account; continuing to use the Service after a change takes effect means you accept it.
16.Complaints and dispute resolution
16.1 If something goes wrong, please contact us first using the details in Section 18 so we can try to put it right. Complaints about the regulated payment services may also be raised with the Issuer. As a consumer in Greece you may also be entitled to use alternative dispute-resolution bodies, including the Hellenic Consumer Ombudsman and the EU Online Dispute Resolution platform, and to refer matters to the competent authorities.
17.General
17.1 Governing law and jurisdiction. These Terms are governed by Greek law. The courts of Greece have jurisdiction, without prejudice to any mandatory right you have as a consumer to bring proceedings in, or rely on the law of, your place of residence.
17.2 Assignment. We may transfer our rights and obligations under these Terms to another group company or to a successor of the programme, provided your rights are not adversely affected. You may not transfer your rights or obligations to anyone else.
17.3 Severability and waiver. If any provision is found unenforceable, the remaining provisions continue in force. A delay in enforcing these Terms is not a waiver of our rights.
